Terms & Conditions

These terms govern all custom software development, mobile application engineering, and consulting engagements with Qubit Codes. By proceeding with our services, you agree to the following conditions.

1. Agreement to Terms

By engaging Qubit Codes for any custom web development, mobile application, back-office support, or consulting service, you confirm full agreement with these Terms & Conditions. If you do not agree with any part of these terms, you may not proceed with our services.

2. Intellectual Property Ownership

Foreground IP — Transferred to Client

All original deliverables created specifically for the client under the signed project agreement — including screens, custom features, database structures, and project-specific code — constitute Foreground IP. Ownership is transferred to the client only upon full satisfaction of all conditions set out in the Software Handover section.

Background IP — Retained by Qubit Codes

Qubit Codes retains sole ownership of all Background IP — including proprietary frameworks, reusable modules, code architectures, algorithms, and pre-existing libraries developed independently. The client receives a perpetual, non-transferable, royalty-free licence to use Background IP solely as an integrated and inseparable part of the delivered software. Extracting, modifying, sublicensing, or reusing Background IP outside of the delivered software is strictly prohibited without prior written consent.

Third-Party & Open-Source Components

Third-party packages and open-source libraries integrated into solutions follow their original author licences (e.g. MIT, Apache 2.0, GPL), unless modified or adapted by Qubit Codes. Modified portions are governed by Qubit Codes proprietary licensing terms.

3. Software Handover Conditions

Source code and complete project deliverables are handed over only after all of the following conditions have been met:

1All agreed requirements documented in the signed project agreement have been delivered.
2The 30-day post-launch warranty period has concluded without outstanding defect remediation.
3No active Back Office Support service, retainer, or other ongoing support engagement is in progress.
4Full and final payment — including all milestone invoices — has been received and cleared.

Until handover is complete, Qubit Codes retains all rights to the software. Upon handover, the client assumes full responsibility for hosting, security, and operation.

4. Unauthorized Access & Warranty Void

Any access to, or modification of, the project's source code, database, or server environment by the Client or any third party acting with the Client's knowledge is strictly prohibited throughout the development period and during any active support, warranty, or AMC period.

Any such unauthorized access or modification shall immediately and permanently void all active warranties, and may result in the termination of any ongoing support agreement at Qubit Codes' sole discretion — without refund.

5. Service Usage & Client Responsibilities

The client agrees to provide all required assets, API keys, content, and approvals in a timely manner. Delays in feedback or asset delivery exceeding 5 consecutive calendar days will suspend active development and Qubit Codes reserves the right to adjust delivery timelines accordingly.

Our services are for lawful business purposes only. You agree not to use our platforms or software for:

1Any fraudulent, illegal, or unauthorized purposes
2Transmitting harmful, abusive, or offensive content
3Attempting to access systems or data beyond your authorized scope
4Violating any applicable local or international laws

6. Scope of Work & Out-of-Scope Billing

Qubit Codes delivers only what is explicitly documented in the signed project agreement or Statement of Work (SOW). Work outside this scope is considered out-of-scope and will be separately estimated, agreed upon, and invoiced before commencement. This includes but is not limited to:

1Additional feature requests or change orders not in the original SOW
2On-site visits, travel, or in-person training sessions
3Data entry, content updates, or copywriting services
4Any feature additions or modifications beyond the agreed project scope
5Ongoing support or maintenance after the 30-day warranty unless covered by an AMC

7. Force Majeure & Timeline Adjustments

Qubit Codes is committed to meeting agreed project timelines. However, circumstances beyond the reasonable control of either party — including natural events, infrastructure outages, pandemics, or regulatory changes — may affect project progress. In such cases, a revised delivery timeline will be mutually agreed upon in writing. Delays arising from late client feedback, missing content, or postponed approvals shall not be attributed to Qubit Codes.

8. Portfolio & Promotional Rights

Qubit Codes reserves the right to feature completed projects, client names, and work samples in its portfolio, case studies, website, and marketing materials, unless otherwise specified in the applicable project or client agreement. Where a specific written restriction exists, that agreement shall take precedence.

9. Invoicing & Limitation of Liability

Invoices are due within 5 calendar days of issuance. Late payments exceeding 10 calendar days may result in suspension of active development sprints or staging server access without liability to Qubit Codes for resulting delays.

Qubit Codes shall not be liable for indirect, incidental, or consequential damages. Total liability for any claim shall not exceed the fees paid for the specific service during the 30-day period preceding the claim.

10. Governing Law & Dispute Resolution

These Terms & Conditions are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Ernakulam, Kerala, India, and resolved through arbitration under the Arbitration & Conciliation Act, 1996. Both parties agree to attempt good-faith resolution before initiating formal proceedings.
